PART 2: BY-LAWS:
8. Membership eligibility and voting rights
8.1 The Association shall have four membership categories:
1st. Full membership shall be open to residents of Oman who over 18 years of age
and shall carry the right of nomination, voting and standing for election at
General Meeting.
A.1 Single membership shall be open to all persons over 18 years of age, and
carries the right of one vote.
A.2 Family membership shall be open to any couple with or without dependent
minor children, and carries the right of two votes.
A.3 Single parents with children under the age of 18 years shall be entitled to
family membership but shall pay the single membership fee and have the right of
one vote.
2nd. Associate membership shall be available to visitors to Oman for a total of
no more than three months in any membership year. Associate membership shall
have the duties and the right of the full members save the right of voting,
nomination and elections.
3rd. Student membership shall be limited to Omanis engaged in full-time studies.
They shall have the rights and duties of the Associate members.
D. Honorary membership may be offered by the Committee or its spokesman to
eminent persons, including these distinguished in the fields of interest of the
Association. Honorary membership may also be offered to anyone who has
contributed valuable services to the Association. Honorary members shall have no
election rights.
8.2 All members shall respect the aims of the Association.
8.3 All members shall accept the conditions set out in the Association's
"Guidelines to Appropriate behavior" and members shall respect official
directives relevant to activities of the Association.
8.4 Any member disregarding the By-laws of the Association shall receive a
written warning. A further breach may result in the cancellation of the
membership.
9. Committee
9.1 The Maximum numbers of Committee members at any given time shall not exceed
15. The Committee shall consist of the following office bearers: President,
Vice-President, Secretary, Treasure, Assistant Secretary; Assistant Treasure and
a minimum of six and not more than nine other elected members.
9.2 The President and Vice-President shall always be Omani
9.3 Duties of the office bearers:
1st. The President shall be the overall head of the Association and its
spokesman and advisor.
2nd. The Vice-President shall be the deputy of the President, shall chair all
meeting and shall supervise the administration of the Association.
3rd. The secretary shall deal with day administration of the association.
4th. The Treasurer shall keep records of all financial transactions, provide
financial reports at the committee meeting prepare annual accounts to be
presented during the Annual General Meetings, and arrange to have the account
professionally audited annually for the benefit of the membership. The Treasure
will be prepared to have the books seen by members at a mutually convenient time
and place arrange by the committee.
5th. The Assistant secretary shall be the deputy of and the assistant to the
Secretary.
6th. The Assistant Treasure shall be the deputy of and the assistant to the
Treasurer.
9.4 The Committee may co-opt up to four members of the Association to fill
vacancies which occur during the year.
9.5 The Committee shall meet at least nine times a year. Two weeks prior notice
shall be given for all meetings. Five members, two of whom must be office
bearers, form a quorum.
9.6 Any two office bearers may sign cheques on behalf of the Association.
9.7 The Committee shall be empowered to establish sub-committees and to appoint
members to administer various activities of the Association. Such sub-committees
shall report to the full committee at the next meeting after the sub-committee
meeting. Any member of the committee may chair a sub-committee.
9.8 At the discretion of the Committee, a committee member may asked to resign
after three unexplained consecutive absences from the committee meetings.
10. Membership meetings
10.1 An Annual General Meeting shall be held not later than the end of February
of each year. At least three weeks notice of the AGM shall be given in writing
by the Secretary to all members. Quorum for the AGM shall be 15% of paid up
membership at the close of the financial year.
10.2 The Annual General Meeting shall:
1st. Consider for approval the President's Annual Report;
2nd. Consider for approval the Treasurer's statement and audited accounts of the
Association and appoint auditors for the coming year;
3rd. Elect office bearers and other committee members;
4th. Conduct any other business.
10.3 Amendments to the Constitution may only be made at the Annual General
Meeting or a specially convened General Meeting.
10.4 If for reason the Annual General Meeting is not held when due, the
Committee shall continue in office for a further period not exceeding three
months by which time the Annual General Meeting must be held. Those attending
shall constitute a quorum.
10.5 An Extraordinary General Meeting of the Association may be called by the
Committee, or shall be called at the written request of 10% of those holding
full membership shall be given three weeks written notice of the meeting. The
notice shall specify the business to be conducted and that no other business
shall be conducted, and shall be accompanied by a proxy voting form. The proxy
voting form authorises members in attendance to vote on behalf of an absent
member.
11. The Association
11.1 The Association shall be non-racial and non-sectarian.
11.2 The Association may buy or receive as gift objects of ecological,
ethnological value. Such objects shall become the property of the membership
subject to the control and custody of the committee on behalf of the membership.
11.3 The membership shall agree to indemnify and hold blameless individual
members to act on behalf of the Association against all claims, actions and
expenses arising from such action, provided that the said individual members
have acted within the scope of their authority and in the interest of the
Association.
12. Lapse of the Association
If the Association ceases to fulfill its aims through lack of support by the
members, or for any other reason, the records monies and property of the
Association shall be given into the care of the bankers of the Association who
shall act as trustees until such times as the Association is reactivated. After
a lapse of five years, the funds shall be donated to a worthy cause as
determined by the trustees.
